Terms and conditions User Agreement

1. Prices are quoted FOB Cerritos, CA; subject to change without notice. 2. Cablesys is not liable for loss or damage of any shipments while in transit. All claims for breakage or shortage should be made upon receipt of the material and be filed with the carrier handling the shipment. We will assist in presenting these claims, but will not assume responsibility for collection of claims. On shipments received in damaged condition, always have the carrier's agent make a notation on the freight bill specifying a damage or shortage. If shipping cartons or crates are apparently in good order, but contents are damaged, call the freight agent and request him to make an inspection report. This is absolutely necessary and should be done immediately after receipt of shipments. Claims for damage or non-delivery of Parcel Post shipments should be made to Cablesys as we insure all Parcel Post shipments for a nominal charge, unless otherwise directed. 3. Customers who refuse shipments will be billed for all freight charges. 4. Custom purchases from Cablesys are not eligible for return or credit (manufacturers defect excluded). 5. Cablesys reserves the right to change the amount and/or terms of any credit extended at its sole discretion and without any prior notice. 6. Customers with checks returned to our Bank will be assessed a handling charge of $25.00 for each check returned and will be required to wire transfer the amount within 7 days or be placed for collection. 7. Cablesys acceptance of a late payment cannot be construed as a change in the terms of this agreement. 8. Interest of 1.5% per month will be charged on all overdue balances on the last day of every month. 9. All transactions there under shall be governed by the laws of the State of California. 10. In the event of legal action and/or collection procedures, Cablesys will be entitled to recovery from Applicant(s), its assigns or successors in interest, the actual costs and expenses of any legal proceedings and/or collection procedures to collect any amount due plus reasonable attorney's fees. 11. The provision of the access code for the purpose of placement of product orders on the Cablesys e-commerce site and the extension of prior approved general trade terms is for the sole use of the named assignee. Cablesys will not be responsible for any fraudulent misuse of the code and/or any changes or expense incurred. The named entity assigned the code shall secure the code and will be held solely responsible for payment shipments and freight expenses in the event of fraudulent use of the code. 12. Any subsequent change to the terms of this credit application is only effective when approved in writing by Cablesys. THIS AGREEMENT IS A SERVICE AGREEMENT. THE SERVICES AND OTHER INDIVIDUAL COMPONENTS ARE PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. IN NO EVENT WILL CABLESYS BE LIABLE FOR LOSS OF USE, LOSS OF DATA, BUSINESS INTERRUPTION, COST OF PROCUREMENT OF SUBSTITUTE SERVICES, OR OTHER SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES, HOWSOEVER CAUSED, AND ON ANY THEORY OF LIABILITY.
